Article I - Name
The name of this club is The Henderson/Vance County Chess Club.
Article II - Purpose
The purposes of this club are
(a) To enable the members to play the game of chess;
(b) To conduct tournaments, matches, and other forms of chess competition, including matches with other clubs.
(c) To promote the popularity of the game of chess.
Artictle III - Affiliation
This club shall affiliate with the United States Chess Federation and shall follow the rules of chess and rating systems of the Federation.
Membership in the USCF is not required of members, but is encouraged.
Members are encouraged to provide official chess equipment for their games.
Article IV - Not for profit
This club shall be operated not for profit; no dividend or distribution of assets, however designated or described, shall be made to any person or entity. Upon dissolution, the assets of the club shall be disposed of as provided below in Article X.
Article V - Membership
Any person may become a member of the club. The types of membership shall be:
I) Regular member - One Person, over 18 and of good standing;
II) Scholastic member - Persons under eighteen and in good standing; Scholastic members do not vote.
Article VI - Officers and Directors
The officers of the club shall be President, Vice-president, Secretary, and Treasurer. A regular member may hold more than one office, but no person shall be both President and Vice-president.
All officers shall be elected by majority vote of the regular members, and shall serve a term of two years (or until their successors are elected). Officers may be re-elected. Vacancies in office (except for the office of president) shall be filled by vote of the regular members within one month after the vacancy occurs.
Any officer may be removed from office by two-thirds vote of the regular members. A motion to remove an officer must be made at a regular meeting of the club. The vote shall be taken at the next regular meeting of the club.
The club shall have a Board of Directors of not more than six Directors. The officers shall automatically be members of the Board. The regular members shall elect the additional directors and shall determine at the time of the election the number of additional directors to be elected.
Article VII - Duties of Officers and Directors
The President shall preside over all meetings of the Club and of the directors, shall appoint the chairman of such ad hoc committees as the Directors shall create, and shall be a voting member of all standing committees.
The Vice-President shall preside over any meeting at which the president is absent, shall become President automatically upon any vacancy in the office of President, to complete the current term, and shall otherwise assist the President.
The Secretary shall keep records of all meetings of the members and of the Directors, shall carry on and preserve the correspondence of the club, and shall send notice to the members of any special or called meeting. The Secretary shall maintain a list of the members, with their name, address, and USCF number if any, and such other information as the Directors shall direct.
The Board of Directors shall set the annual dues, create standing or ad hoc committees, and shall be responsible for the management of the club.
Article VIII - Meetings and Dues
The club shall meet at such location and times as the Directors shall determine. Until determined otherwise, the club shall meet every Thursday at 6:30 PM at the First United Methodist Church, Henderson, Vance County, North Carolina.
Robert's Rules of Order shall govern the conduct of the meetings of the club, except that the Articles and Bylaws of the club shall govern in case of conflict.
Unless the Bylaws provide otherwise: a quorum shall consist of three regular members, one of whom must be the President or Vice-President, but if the total number of regular members is fifteen or more, a quorum shall consist of twenty percent of the regular members. A regular member may appear by general or limited written proxy, except that no vote by proxy may be cast in an election of officers.
By majority vote of the regular members present and voting, the Club may create classes of membership, adopt resolutions, and consider new business. The Directors may create such ad hoc committees as they deem appropriate. This recital shall not reduce any power otherwise held by the regular members.
Article IX - Discipline
A member may be suspended or expelled from the club for violation of the rules of conduct of the U.S. Chess Federation, for conduct detrimental to the game of chess, or for conduct unbecoming a member of this club.
A motion to suspend or a motion to expel must be made at a regular meeting of the club. A suspension or expulsion requires an affirmative vote of two-thirds of the regular members present and voting. The vote on the motion shall be held at a regular meeting held not sooner than fourteen days after the making of the motion. regular members, including the member proposed to be disciplined, shall have the right to speak for a reasonable time in support or opposition to the motion for discipline. The allowed time shall be the same for all speakers.
Article X - Dissolution
These Articles and Bylaws may be amended by the regular members.
Any proposed amendment shall be given in writing to the Secretary at the time of making the motion to amend. The motion must be made at a regular scheduled meeting of the club.
If the club has fewer than twenty regular members, the vote on the proposed amendment may be held at the meeting at which the amendment is proposed.
If the club has twenty or more regular members, the Secretary shall promptly mail to each regular member a copy of the proposed amendment, without comment, but with notice of the date and time of the meeting at which the vote shall be taken. The vote may not be held until at least ten days after the mailing by the Secretary of this notice.
The proposed amendment shall be adopted if, but only if, it receives a majority vote of the regular members present and voting.
